Dear Mr. Miller,

This Consulting Agreement sets forth the terms and conditions under which Advisor will provide high-level strategic advisory, architecture validation, and operational consulting to Vertex Global Technologies.

1. INDEPENDENT CONTRACTOR STATUS Advisor shall perform all advisory services strictly as an independent contractor. Nothing in this Agreement shall create an employer-employee, partnership, or joint venture relationship between the parties.

2. CONFIDENTIALITY & NON-SOLICITATION Advisor agrees to hold all proprietary strategic methodologies, product roadmaps, and client data in strictest confidence. During the term of this engagement and for twelve (12) months thereafter, Advisor shall not directly solicit employees or clients of Vertex Global Technologies.

3. TERMINATION & NOTICES Either party may terminate this advisory engagement at any time, with or without cause, upon providing fourteen (14) business days prior written notice.
